Eligibility and accounts
You must be able to form a binding contract in your jurisdiction to use Replii. You are responsible for maintaining the confidentiality of your account credentials and for activity under your account.
You agree to provide accurate information and to keep it up to date. Notify us promptly of any unauthorized use of your account.
The service
Replii provides tools to help businesses manage and respond to Google Maps reviews using AI features, subject to product availability and third-party platform requirements (including Google).
We may modify, suspend, or discontinue features with reasonable notice where practicable, or immediately if needed for security, legal compliance, or operational reasons.
Acceptable use
You will not misuse Replii, including by attempting to access non-public areas, interfere with the service, reverse engineer except as permitted by law, generate unlawful or harmful content, or violate others’ rights.
You are responsible for your use of AI outputs, including reviewing content for accuracy and suitability before publication where appropriate, especially for sensitive or regulated industries.
AI outputs
AI-generated suggestions may be incorrect or incomplete. You remain responsible for final content published through your connected accounts and for compliance with Google’s policies and applicable laws.
Plans, trials, and billing
Paid plans, trials, renewals, and refunds are described at checkout and in any order summary. Unless stated otherwise, subscriptions renew until canceled in accordance with the billing provider’s flows.
Fees are exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes.
Intellectual property
Replii and its licensors retain all rights in the service, branding, and software. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the service for your internal business purposes.
You retain rights to content you provide. You grant Replii a license to host, process, and display that content as needed to provide the service.
Disclaimers
The service is provided “as is” and “as available” to the fullest extent permitted by law. We disclaim implied warranties such as merchantability, fitness for a particular purpose, and non-infringement where allowed.
Limitation of liability
To the fullest extent permitted by law, Replii will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill.
To the fullest extent permitted by law, our aggregate liability arising out of or relating to the service will not exceed the greater of (a) the amounts you paid to Replii for the service in the twelve (12) months before the claim, or (b) one hundred U.S. dollars (USD $100).
Indemnity
You will defend and indemnify Replii and its affiliates, officers, directors, employees, and agents against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the service, your content, or your violation of these Terms or applicable law.
Termination
You may stop using Replii at any time. We may suspend or terminate access for violations of these Terms, risk to the service or others, or non-payment (for paid accounts), subject to applicable notice requirements.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles, except where prohibited by the laws of your consumer jurisdiction.
Courts in Delaware shall have exclusive jurisdiction for disputes arising from these Terms, subject to mandatory consumer protections in your jurisdiction where applicable.
General
These Terms constitute the entire agreement between you and Replii regarding the service and supersede prior agreements on the same subject. If a provision is unenforceable, the remainder remains in effect.
